1. ABOUT THESE TERMS

1.1 These Website Terms of Use (the "Terms") apply to your use of the websites of LoyaltyOps Inc. ("LoyaltyOps", "we", "us" or "our") at loyaltyops.com and its subdomains (the "Website"). "You" means you, and the organization you act for if you use the Website on its behalf.

1.2 By using the Website, you agree to these Terms. If you don't agree, please don't use the Website.

1.3 These Terms cover the Website only. If you buy the Leadership Competency Assessment, the Assessment Terms apply to your purchase. If you've signed an agreement with us, that agreement applies to the work it covers. If these Terms and the Assessment Terms or a signed agreement say different things, the Assessment Terms or the signed agreement apply.

1.4 Our Privacy Policy explains how we handle personal information. It's a notice, not part of these Terms.

2. WHO CAN USE THE WEBSITE

2.1 You must be at least the age of majority where you live to use the Website.

2.2 If you use the Website for an organization, you confirm that you have the authority to agree to these Terms for it.

3. HOW YOU MAY USE THE WEBSITE

3.1 You may use the Website for your own information and for your organization's internal business purposes.

3.2 You must not:

(a) use the Website in a way that breaks the law or infringes anyone's rights;

(b) send anything through the Website that is threatening, abusive, defamatory, obscene or misleading;

(c) try to get into parts of the Website, our accounts or our systems that you aren't given access to, or interfere with how the Website works;

(d) introduce viruses or other harmful code;

(e) copy or collect content from the Website by automated means, such as scraping, or use it to train AI models; or

(f) pretend to be someone else, or misrepresent your connection with LoyaltyOps.

3.3 We may suspend or block access to the Website, or any part of it, if we reasonably believe you've broken these Terms.

4. OUR CONTENT AND TRADEMARKS

4.1 We own, or have licences to use, everything on the Website, including the text, frameworks, tools, the LoyaltyOps Leadership Competency Model, images, videos, audio, podcast recordings, design and layout (the "Content"). The Content is protected by copyright and other intellectual property laws.

4.2 LOYALTYOPS™ and the LoyaltyOps logo are trademarks of LoyaltyOps Inc. You must not use them, or anything confusingly similar, without our written permission. Using our trademarks with permission doesn't give you any rights in them, and any goodwill from that use belongs to LoyaltyOps Inc.

4.3 We give you a limited, non-exclusive, non-transferable licence to view the Content and to download and use our free frameworks and resources for your own development and your organization's internal business use. You may share a free resource with colleagues in your own organization, as long as you keep our name, copyright notice and trademarks on it.

4.4 You must not sell, license, publish, change, or make products or services from the Content, or use it to deliver services to others, without our written permission.

4.5 Everything not expressly granted in these Terms is reserved by LoyaltyOps Inc.

5. WHAT YOU SEND US

5.1 If you send us ideas, suggestions or feedback about our services, we may use them without paying you or owing you anything. This doesn't apply to your personal information, which we handle under our Privacy Policy, or to your organization's confidential information, which we handle under any agreement we have with you.

6. LINKS AND OTHER COMPANIES' SERVICES

6.1 The Website links to, and uses, services run by other companies, such as Stripe and PayPal for payments, Zoom for virtual sessions, and LinkedIn, YouTube and Facebook. Their own terms apply when you use them. We aren't responsible for their content or how their services work.

7. TESTIMONIALS, RESULTS AND PAID RECOMMENDATIONS

7.1 Testimonials and examples on the Website reflect the experience of the people who gave them. Your experience may differ. We don't promise any particular result from our services.

7.2 We don't measure business results. Our clients measure their own results, using their own numbers. The Leadership Competency Assessment reflects people's perceptions of leadership behaviour.

7.3 Some people who recommend LoyaltyOps are paid for it, for example through our affiliate program or a referral payment. We require registered affiliates to tell you when they're paid.

8. INFORMATION, NOT PROFESSIONAL ADVICE

8.1 The Content is for general information. It isn't legal, financial, tax, medical, mental health or human resources advice, and it doesn't replace advice from a qualified professional about your situation.

9. DISCLAIMER

9.1 We work to keep the Content accurate and up to date, but we provide the Website and the Content "as is" and "as available". To the fullest extent the law allows, we make no representations, warranties or conditions, express or implied, about the Website or the Content, including about accuracy, completeness, fitness for a particular purpose, or that the Website will be uninterrupted or free of errors or viruses.

10. LIMITATION OF LIABILITY

10.1 To the fullest extent the law allows, LoyaltyOps will not be liable to you for any indirect, incidental, consequential, special, exemplary or punitive damages, or for any loss of profits, revenue, data or use, arising out of or relating to these Terms or your use of the Website or the Content, whether the claim is based on contract, tort including negligence, or anything else, and whether or not the damage was foreseeable or we were told it was possible.

10.2 Nothing in these Terms limits or excludes any liability that the law doesn't allow us to limit or exclude.

11. INDEMNITY

11.1 You will indemnify LoyaltyOps and hold it harmless from any claim made by someone else, and the related losses and costs, including reasonable legal fees, to the extent the claim arises from your breach of Section 3 or Section 4. This doesn't apply to the extent the claim arises from our own breach of these Terms, our negligence or our wilful misconduct.

12. BUYING FROM US

12.1 These Terms don't cover purchases. The Assessment Terms apply when you buy the Leadership Competency Assessment, and a signed agreement applies to our other services. Prices and payment terms are set out at the point of purchase or in your agreement.

13. PRIVACY

13.1 Our Privacy Policy, at https://loyaltyops.com/privacy-policy, explains how we collect, use, share and protect personal information.

14. CHANGES TO THESE TERMS

14.1 We may update these Terms. We'll post the new version on this page with a new effective date. Changes apply from that date and don't affect anything you bought or agreed to before it. If you keep using the Website after a change takes effect, the updated Terms apply to your use.

15. DISPUTES AND GOVERNING LAW

15.1 If a dispute arises out of these Terms and you and we can't resolve it by agreement, you and we will try in good faith to settle it through mediation for up to thirty (30) days after one of us gives the other notice of the dispute. If the dispute isn't resolved and either of us starts a legal action, the party that wins is entitled to be paid by the other party all costs and expenses it incurred, including legal fees.

15.2 These Terms are interpreted and governed by the laws of the Province of Ontario.

16. GENERAL

16.1 Severability. If any part of these Terms is found invalid or unenforceable, the rest of these Terms stays in effect. If limiting that part would make it valid and enforceable, it applies as limited.

16.2 Waiver. If we don't enforce a part of these Terms, that doesn't stop us from enforcing it, or any other part, later.

16.3 Assignment. You may not transfer your rights under these Terms. We may transfer ours, for example if our business is sold or reorganized.

16.4 Entire agreement. These Terms are the entire agreement between you and us about your use of the Website. They don't replace or change the Assessment Terms or any agreement you've signed with us.
